A NHS Trust in London is seeking an Interim Head of Corporate Governance for a period of 6 months. The Head of Corporate Governance will be responsible for managing and delivering the highest levels of corporate governance. The individual support the Director on all issues relating to corporate governance, according to statutory and legislative requirements and in accordance with the regulatory framework (statute, terms of authorisation and constitution) enforced by NHS regulators, including NHS Improvement, the independent Regulator of NHS Foundation Trusts. You must have experience at this level in Corporate Governance in the NHS, which is essential, candidates without the relevant level experience in the NHS will not be considered. The role is expected to last 6 months.

 

They will work with and support the Chair and the Council of Governors to ensure that the Council fulfils its legislative requirements, but also makes an effective and efficient contribution to the Trust ensuring that there is a robust interface with membership engagement. They will manage a central corporate governance team comprising a Corporate Governance Manager and 2 Corporate Governance Officers, who between them provide professional company secretarial services to the Board of Directors and its Committees, the Council of Governors and its Committees the companies of Commercial Services and the key executive management group.

Key duties include:

  • Support the Director of Corporate Affairs in ensuring that the Trust has a robust governance infrastructure that complies with NHS Improvement's licence conditions in relation to governance, and that takes account of the Foundation Trust's Code of Governance and other relevant best practice recommendations in corporate governance.
  • Ensure the Board of Directors and its Committees are properly constituted, with clear terms of reference operated and supported, according to Standing Orders and the relevant legal and statutory framework.
  • Ensure Standing Orders and the Scheme of Delegation are in place, acted upon and reviewed as necessary, and with the Chief Financial Officer or their designated individual, ensure that Standing Financial Instructions are similarly in place, reviewed and acted upon by the Board of Directors.
  • Ensure the timely submission of statutory annual returns, including the Annual Plan, the Annual Report and Accounts and Quality Report and Accounts, ensuring these are presented to the Regulator, and laid before Parliament.
  • Ensure all registers, reports and other documentation required by the Constitution or relevant legislation are established and maintained, and made available for public inspection in line with statutory requirements.
  • Identify, assess and review the provisions of all new changes to legislation and guidance to establish relevance to the Trust and advise on actions to be taken to fully implement.
  • Advise on the process to be followed in respect of any merger, acquisition or significant transaction involving the Trust, and ensure proper processes are followed in respect of Board and Council decision making and relevant submissions to Regulators Establish and monitor procedures to ensure that the Foundation Trust is able to comply with the requirements of the legislative and regulatory framework.
  • Ensure that there is appropriate co-ordination and good information flows between the Board of Directors, the Council of Governors, their committees and executive management.
  • Ensure the governing body operates in an open and transparent manner.
